Clausola prescrittiva della lingua

Le clausole prescrittive della lingua indagate in queste pagine hanno ad oggetto la formazione del contratto. Esse rifluiscono nella prassi di predeterminare la disciplina del contratto, specialmente quando l’affare sia concluso tra soggetti sottoposti a giurisdizioni differenti o, comunque, di lingua diversa. Mediante tali clausole, le parti stabiliscono la lingua delle dichiarazioni negoziali restringendo la libertà che l’ordinamento riserva ai contraenti nello scegliere le modalità linguistiche del consenso. Esse si distinguono seconda che contenute nelle coeve dichiarazioni negoziali, nella proposta, in un accordo precedente un futuro accordo. Tali clausole sembrano avere ad oggetto la forma del contratto e, pertanto, sembrano essere sottoposte alla disciplina contenuta nell’art. 1352 cod. civ.



The language clauses studied in these pages have as their object the formation of the contract. They belong to the practice of determining in advance the rules of the contract, especially when the transaction is concluded between operators subject to different jurisdictions or, in any case, of a different language. By means of these clauses, the parties establish the language of the negotiation declarations by reducing the freedom that the legal system assigns to the contracting parties to choose the language modes of consent. They are distinguished according to whether they are contained in the contemporary negotiating statements, in the proposal, in an agreement preceding a future agreement. These clauses seem to have as their object the form of the contract and, therefore, appear to be subject to the provisions contained in art. 1352 cod. civ.
